Invoicing as an independent contractor in the United States
Unlike many European and Commonwealth jurisdictions, the United States has no federal commercial invoice mandate or national value-added tax. As a sole proprietor, independent contractor, or single-member LLC, your invoice serves two primary functions: a legal demand for payment and an audit record for IRS Form 1099-NEC reporting.
To ensure rapid payment from corporate clients, every freelance invoice must include specific fields: your legal business name (and DBA if applicable), contact address, unique invoice number, issue date, explicit due date (e.g. Net 30), a clear itemized breakdown of services rendered (hourly rate, days, or fixed project milestone), and direct bank routing/wire or ACH transfer instructions. If your client issued a Purchase Order, placing their PO number at the top of the invoice prevents accounts payable from holding payment pending internal verification.
Before disbursing funds, US clients typically require you to submit Form W-9 (Request for Taxpayer Identification Number and Certification) to record your Taxpayer Identification Number (SSN or EIN). For payments made in 2025, businesses must file Form 1099-NEC for any non-corporate contractor paid $600 or more during the calendar year; for payments made in 2026, this threshold increases to $2,000, and is indexed for inflation starting in 2027. Note that independent contractors remain legally required to report all earned self-employment income on their tax returns regardless of whether their total earnings from a client fall below the 1099-NEC reporting threshold.
Sales tax on services and late payment fee boundaries
Sales tax in the US is governed at the state and municipal levels across 45 states, the District of Columbia, and local taxing jurisdictions (five states — Alaska, Delaware, Montana, New Hampshire, and Oregon — impose no statewide general sales tax). Most professional services (such as copywriting, software consulting, and graphic design) are exempt from sales tax in a majority of states, but notable exceptions exist (such as information services in New York, data processing in Texas, or digital automated services in Washington). Invoicr allows you to specify state and local sales tax percentages and toggle taxability per line item, or set tax to 0% for exempt professional services.
When including late payment fees, beware of state usury laws. Attempting to charge excessive arbitrary penalties can render the clause legally unenforceable. Always check your state's limits before adding late fee percentages to your payment terms.
